Contract drafting relating to real estate

Real estate purchase contracts

A key focus of our notarial work is the notarization and execution of real estate purchase agreements. This includes, in particular, purchase agreements for land, multi-family dwellings, single-family homes, apartments, leaseholds, and real estate portfolios, as well as real estate held as company assets. Our clients include companies and individuals from the real estate industry, as well as private individuals who may only purchase or sell a property once in their lifetime.

Property development contracts

Another focus of our work is property development law. We advise and support property developers early on in the planning stage and draw up customized property development contracts that consider the interests of the property developer while remaining balanced. This enables swift contract processing. We have experience in providing notarial support for new construction projects (residential and commercial properties), renovation projects, and projects in which existing properties are renovated and additional new buildings are constructed, for example, as part of a densification process. We also prepare and notarize declarations of division for the creation of condominiums and shared ownership, taking into account the specific characteristics of the projects. We also discuss with the property developers in a timely manner which documents are necessary in addition to the building specifications – for example, for the development of the land.

Declarations of division for the creation of residential and shared ownership

We draft and notarize declarations of division for the creation of condominiums and shared ownerships under the German Condominium Act (WEG). This includes not only the division in the narrow sense, but also the drafting of community regulations that take into account the specific characteristics of the property in question. Regional legal peculiarities must be considered just as much as the specific characteristics of the property. While large multi-unit complexes often require the creation of sub-communities, community regulations for semi-detached and terraced houses should generally be drafted as if they were actually divided.

Founding a GmbH

We support you in establishing a GmbH or a UG (limited liability company) and draw up a partnership agreement for you that meets your requirements and also takes into account future planned developments of your company.

Establishment of holding structures

A holding structure is often desired for tax reasons. We are happy to assist you in this area as well and will work with your tax advisors to determine the specific structure you require and, if applicable, the order in which the necessary incorporations, capital measures, and transfers should take place.

Transfer of shares and company acquisition

The transfer of business or company shares usually requires notarization. If not just individual shares but the entire company is to be sold, special provisions must be included in the purchase agreement. In such cases, the focus is not on the shares, but on the company itself. This often requires extensive provisions, often contained in reference documents, which we provide to all parties well in advance of the notarization. A company purchase agreement is usually notarized after a lengthy negotiation phase involving legal and tax advisors, and the parties then want the notarization to take place as quickly as possible. Of course, we always try to make this possible.

Corporate restructuring

Restructuring plays a major role in corporate law. Sometimes this occurs purely on the basis of the articles of association. However, restructuring under the German Transformation Act (Umwandlungsgesetz) is generally the most appropriate option, particularly mergers, spin-offs, or changes of legal form. We work closely with your tax advisors in this regard.

The eGbR

A partnership register has existed for civil-law partnerships (GbR) since January 1, 2024. If a GbR is registered in the land register or the commercial register, it must be entered in this register under certain conditions. In practice, registration is increasingly being required by contractual partners. If you are a partner in a GbR, you should therefore consider whether registration in the partnership register is necessary or advisable. Please feel free to contact us about this.

Further notarial activities in the area of capital companies and partnerships

Of course, we are also available to assist you with all other corporate matters. We primarily assist you with registrations with the commercial register. These are required, for example, when managing directors are dismissed or newly appointed, authorized signatories are appointed or dismissed, or when the business address has changed. Perhaps the company's registered office or company name has also changed. If the company is a limited liability company (GmbH), an amendment to the articles of association is also required, which must be notarized. This must then also be registered with the commercial register.

Asset protection and succession planning

It's a good idea to consider early on how to secure existing assets and, if necessary, pass them on to the next generation. We would be happy to provide you with individual advice in this area as well, discussing possible options in a personal meeting. Of course, we would also be happy to involve your tax advisors.

Wills and inheritance contracts

A key instrument for succession planning is a will or inheritance contract. We would be happy to demonstrate options for structuring the will to avoid unnecessary conflicts among heirs and, where appropriate, to take into account family constellations that the legislature had not considered when drafting the law.

Property development contracts Lifetime gifts and anticipated inheritance

If you wish to transfer assets during your lifetime, we can prepare customized gift and transfer agreements for you. You can specify whether you wish to continue to use the gifted assets for financial purposes initially and whether you wish to reserve the right to reclaim them under certain conditions, particularly to protect the family's assets. We are also happy to work with your tax advisor to optimize the transfer from a tax perspective.

Corporate succession regulations

For asset protection and succession planning, establishing a company, e.g., in the legal form of a GmbH & Co. KG (limited liability partnership), may also be appropriate. In these cases, only the shares of companies in which the family assets have been contributed are transferred. The partnership agreement allows for the inclusion of comprehensive provisions for security and control, and, if necessary, also allows for the participation of underage children. The legal form and the design of the partnership agreement can be determined in close consultation with your tax advisor.

General powers of attorney, advance directives and living wills

It is advisable to also make provisions for the eventuality in which one is no longer able to make decisions or enter into legal transactions. For this purpose, it is advisable to grant comprehensive powers of attorney to trusted persons and to submit a living will. Such documents can generally also be drawn up privately. In practice, however, a notarized power of attorney is more widely accepted. If the power of attorney is also to be used for real estate transactions or in the area of corporate law, the notarized form is generally mandatory. In these cases, it must also be examined on a case-by-case basis whether such a power of attorney is sufficient for corporate transactions or whether further measures should be taken.

Precautionary marriage contracts and separation and divorce agreements

In the area of family law, we draft prenuptial agreements to avoid potential conflicts in the event of a divorce. Often, certain assets, such as real estate or company shares, should not be included in the equalization of accrued gains. We draft customized prenuptial agreements that take into account the current and planned living situation of the spouses and, where possible, also provide for forward-looking adjustments.

In the event that a married couple separates and wishes to settle the consequences of the separation and divorce, we would also be happy to act as a notary for you.
